1. Acceptance of Terms
By accessing or using FirstFlip services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you and FIRST FLIP LTD (RC 9023563), a company registered under the laws of the Federal Republic of Nigeria, with its principal place of business in Lagos, Nigeria.
2. Eligibility Requirements
To use FirstFlip Services, you must: • Be at least 18 years of age or the age of legal majority in your jurisdiction • Be a legal resident of Nigeria or an eligible international jurisdiction • Have the legal capacity to enter into binding contracts • Provide accurate and complete identification documents for verification • Not be prohibited from using financial services under applicable laws • Not be listed on any sanctions list or associated with prohibited activities International users must comply with their local regulations and may be subject to additional verification requirements.
3. Account Registration & Security
3.1 Account Creation You must provide accurate, current, and complete information during registration. You agree to update this information promptly if it changes. 3.2 Account Security You are solely responsible for: • Maintaining the confidentiality of your login credentials • Enabling two-factor authentication (2FA) when available • All activities that occur under your account • Immediately reporting any unauthorized access to support@firstflip.ng 3.3 Account Verification We reserve the right to verify your identity at any time. Failure to complete verification may result in account suspension or termination.
4. Services Description
FirstFlip provides the following services: • Cryptocurrency trading and exchange (BTC, USDT, and other supported assets) • Gift card trading and redemption • Digital wallet services • Peer-to-peer transaction facilitation • WhatsApp-assisted manual trading for international customers All services are subject to availability and may be modified, suspended, or discontinued at our discretion with reasonable notice.
5. Transaction Terms
5.1 Transaction Finality All transactions are final once confirmed. Ensure you verify all details before confirming any trade. 5.2 Exchange Rates Rates displayed are estimates and may vary at execution time due to market volatility. Final rates are confirmed at the time of transaction completion. 5.3 Transaction Limits We may impose daily, weekly, or monthly transaction limits based on your verification level and transaction history. 5.4 Processing Times While we strive for instant processing, some transactions may take up to 24 hours depending on blockchain network conditions and verification requirements.
6. Fees & Charges
6.1 Transaction Fees All applicable fees are displayed before you confirm any transaction. No hidden charges will be applied. 6.2 Fee Updates We reserve the right to modify our fee structure with at least 7 days prior notice via email or in-app notification. 6.3 Third-Party Fees You are responsible for any fees charged by your bank, payment provider, or blockchain network that are outside our control.
7. Prohibited Activities
You agree NOT to use FirstFlip Services for: • Money laundering or terrorist financing • Fraud, scams, or any deceptive practices • Purchasing illegal goods or services • Circumventing sanctions or export controls • Unauthorized access to other users' accounts • Market manipulation or wash trading • Any activity that violates applicable laws Violation of these prohibitions will result in immediate account termination, fund seizure, and reporting to relevant authorities.
8. Intellectual Property
All content, trademarks, logos, and intellectual property displayed on FirstFlip platforms are owned by FIRST FLIP LTD or its licensors. You may not copy, reproduce, or distribute any content without prior written permission.
9. Limitation of Liability
9.1 Service Disclaimer FirstFlip Services are provided "as is" without warranties of any kind, express or implied. 9.2 Liability Limitations FIRST FLIP LTD shall not be liable for: • Losses due to cryptocurrency market volatility • Network delays or blockchain congestion • Unauthorized account access due to your negligence • Force majeure events beyond our reasonable control • Indirect, incidental, or consequential damages 9.3 Maximum Liability Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
10. Dispute Resolution
10.1 Internal Resolution Any disputes should first be raised with our support team via support@firstflip.ng or WhatsApp. We aim to resolve issues within 7 business days. 10.2 Escalation If unresolved internally, disputes shall be subject to mediation before arbitration. 10.3 Governing Law These Terms are governed by the laws of the Federal Republic of Nigeria. Any legal proceedings shall be brought before the courts of Lagos State, Nigeria.
11. Modifications to Terms
We may update these Terms periodically. Material changes will be notified via email or in-app notification at least 14 days before taking effect. Continued use of our Services after changes constitutes acceptance of the updated Terms.
12. Termination
12.1 User Termination You may close your account at any time by contacting support. Outstanding transactions must be completed first. 12.2 Our Termination Rights We may suspend or terminate your account immediately if you violate these Terms or engage in suspicious activities. 12.3 Effect of Termination Upon termination, you must withdraw any remaining funds within 30 days. Unclaimed funds may be subject to escheatment laws.
